Terms of Service

1. Service Description

Comment Coach is operated by Eitel, LLC, a Wyoming limited liability company. In these Terms, "we", "us" and "our" refer to Eitel, LLC, and "you" refers to the person using the service.

Comment Coach is a web application that helps users prepare comments for study group meetings. The service provides AI-powered coaching, bilingual support (English/Spanish), comment drafting, sharing features, live audio capture with transcription, and bilingual reading tools.

The AI coaching features use third-party AI services (Anthropic Claude) to analyze and improve your comments. Live transcription uses Deepgram for real-time speech recognition. By using these features, you acknowledge that your content is processed by external services as described in our Privacy Policy.

2. Account Registration

To use Comment Coach, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your password and for all activities under your account.

You must be at least 13 years old to create an account. If you are under 18, you must have parental or guardian consent.

3. Account Tiers, Trial & Billing

Free Trial: New users receive a 30-day trial of Plus features. The trial starts automatically on account creation. No credit card is required. The trial cannot be extended or restarted. After 30 days, the account reverts to the Free plan.

Free: Comment preparation without AI coaching. Write your own comments, use timed practice, and live capture (speech-to-text). Limited to 3 subjects. AI features are not available unless you provide your own API key.

Plus (paid): Full AI coaching, comment generation, sharing, bilingual review, portfolio, export, research threads, live intelligence, audio transcription, and unlimited subjects.

Subscriptions renew automatically. A paid subscription continues until you cancel it: a monthly plan renews every month and an annual plan renews every year, and the card on file is charged at the start of each new period at the then-current rate for your plan. Billing is handled by Stripe.

Cancelling. You may cancel at any time from Settings, which opens the billing portal and takes effect without contacting us. Access continues until the end of the period you have already paid for, and the subscription is not renewed again. No refunds are provided for partial billing periods.

Price changes. We may change subscription prices. If we do, we will tell you by email before the change takes effect, and the new price applies from your next renewal — never mid-period. If you do not want the new price, cancel before that renewal. Where we have offered a locked or founding rate, we honour it for as long as the subscription stays active.

If you are in the EU or EEA, you have a statutory right to withdraw from a distance contract within 14 days. Because Plus features begin immediately on subscribing, you are asking us to start performance during that period. This does not affect the 30-day trial, which requires no card and no payment — nobody is charged before deciding whether the service is worth paying for.

You may add your own API key (Anthropic, OpenAI, or Deepgram) to access AI features on the Free plan. Keys are stored in your browser only and are never sent to our servers for storage.

4. AI-Assisted Coaching & Transcription

Comment Coach uses AI (Anthropic Claude) to provide coaching suggestions, score comments, generate alternatives, and translate content. Live transcription uses Deepgram for real-time speech recognition. You acknowledge that:

• AI suggestions are not professional advice and should be reviewed before use
• Your comment content is sent to Anthropic's API for processing
• When using live transcription, audio from your microphone is streamed to Deepgram's API. Audio is not retained after processing and is not used for model training
• Transcriptions may not always be fully accurate, especially in noisy environments or with specialized vocabulary
• AI outputs may not always be accurate or appropriate
• You retain full ownership of your original comments and transcriptions
• You are responsible for obtaining appropriate consent before recording audio in any setting. The app will remind you of this obligation but cannot verify compliance
• When using your own API key (BYOK), you are responsible for safeguarding your key and for any charges incurred on your API provider account. Comment Coach transmits your key only to process your requests and does not store it on our servers. Comment Coach is not liable for unauthorized use of your API key.

5. Sharing Features

Plus users can share comments via public links, QR codes, and direct user-to-user sharing. When you share content:

• Public share links are viewable by anyone with the URL (no login required)
• You control what is shared — sharing is per-item and opt-in
• You can revoke any share at any time
• Recipients may react to, leave feedback on, or "Build on" your shared content
• "Build on this" creates an independent copy in the recipient's account with attribution

6. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Share content that is abusive, harassing, or inappropriate
• Attempt to access other users' accounts or data
• Interfere with or disrupt the service
• Use automated tools to scrape or abuse the service
• Circumvent rate limits or feature restrictions
• Share, publish, or otherwise make available through the service any material that infringes someone else's copyright or other intellectual property rights

7. Your Content

You retain ownership of all comments, notes, and content you create in Comment Coach. We do not claim any intellectual property rights over your content.

You grant us a limited license to store, process, display, and transmit your content as necessary to provide the service (including sending content to AI providers for coaching and displaying shared content to authorized viewers).

8. Data and Privacy

Your use of Comment Coach is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

9. Third-Party Services

Comment Coach integrates with the following third-party services:

• Anthropic (Claude AI) — processes your comment content for coaching, scoring, generation, and translation
• Deepgram — processes audio for live transcription (audio is not retained after processing; mip_opt_out is always enabled)
• OpenAI (Whisper) — processes uploaded audio files for transcription (BYOK only — requires your own API key)
• Stripe — processes subscription payments (we never see or store your card numbers)
• Resend — delivers transactional emails (verification, password reset, share notifications)
• Fly.io — provides application hosting and infrastructure

10. Changes to the Service

Comment Coach is under active development. We may add, change, or remove features, and we may stop offering the service entirely. Where a change would remove something you rely on, we will give reasonable notice by email or in the app, and you can export your data at any time from Settings.

If we discontinue the service or a paid tier while you have time remaining on a subscription, we will refund the unused portion.

11. Limitation of Liability

Comment Coach is provided "as is" without warranties of any kind. We are not liable for any damages arising from your use of the service, including but not limited to loss of data, service interruptions, or reliance on AI-generated content.

Our total liability to you for any claims arising from your use of the service shall not exceed the amount you paid us in the twelve months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or under any consumer-protection law that applies to you. Where such a law gives you rights these Terms do not, that law applies.

12. Indemnification

You agree to indemnify us against claims, damages, and reasonable costs arising from content you upload, import, or share through the service, from your use of the service in breach of these Terms, and from your infringement of someone else's rights. This covers your own acts. It does not cover claims arising from how we handle your content, which remains our responsibility.

13. Account Termination & Repeat Infringement

You may delete your account at any time through the Settings page. Upon deletion, all your data (subjects, comments, coaching history, shared links, feedback, notifications) is permanently removed.

We reserve the right to suspend or terminate accounts that violate these terms.

Repeat infringer policy

We respond to notices of claimed copyright infringement under the Digital Millennium Copyright Act, and we terminate the accounts of repeat infringers. This is that policy, and we apply it consistently:

• We record a strike against your account each time we disable access to material in response to a valid infringement notice that you do not successfully counter-notice.
• At two active strikes, your account can no longer create new shares.
• At three active strikes, we terminate the account.
• If you counter-notice and the notice is not pursued, we restore your material and clear the strike that went with it. A contested notice is not proof of infringement, and we will not hold it against you for asserting your rights. Clearing a strike lifts a sharing restriction automatically. It does not automatically reverse a termination — ending an account is a decision a person made, so write to us at dmca@comment.coach and a person will reverse it.

We may also terminate an account in appropriate circumstances outside this strike count where the infringement is flagrant. The full notice and counter-notice procedure, and our designated agent's contact details, are on the Copyright Complaints page.

14. Changes to These Terms

We may update these terms from time to time. We will notify users of material changes via email or in-app notification. Continued use of the service after changes constitutes acceptance of the new terms.

15. Governing Law

These terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. This does not limit any right you have under the consumer-protection law of the place you live.

16. Language

These Terms are published in English and may be made available in other languages. The English version is the authoritative one. Translations are provided so that these Terms can be read in the language you prefer, and if a translation and the English version differ in meaning, the English version governs.

This does not limit any right you have under the consumer-protection law of the place you live, including any right to receive information in your own language or to rely on the version presented to you. Where that law gives you more than this section does, that law applies and this section does not reduce it.

A discrepancy between two language versions of these Terms is a defect on our side, not a trap on yours. If you find one, tell us at support@comment.coach and we will correct it.

17. General

Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision is limited or removed to the minimum extent necessary and the remaining provisions stay in full effect.

Survival. Sections 7 (Your Content), 11 (Limitation of Liability), 12 (Indemnification), 15 (Governing Law), 16 (Language) and this section survive termination of your account.

No waiver. If we do not enforce a provision of these Terms on one occasion, that is not a waiver of our right to enforce it later.

Assignment. You may not transfer your account or your rights under these Terms without our consent. We may transfer ours to a successor in connection with a merger, acquisition, or sale of the business, provided the successor is bound by these Terms and by the Privacy Policy as they stand. If that happens, we will tell you before it takes effect.

Notices. We give notice by email to the address on your account, or in the app. Keep your email address current — it is how we reach you about renewals, price changes, and material changes to these Terms.

Entire agreement. These Terms, together with the Privacy Policy, the Content & Copyright page and the Copyright Complaints procedure, are the whole agreement between you and Eitel, LLC about the service, and replace any earlier understanding about it.
